The LOI Generator completes a template. The template and every document it produces are a starting point only, provided “as is” without any guarantee of accuracy, completeness or suitability, and should be tailored to your specific deal. Nothing on this site is legal advice for any particular deal, facts or circumstances.

No attorney-client relationship

Using this tool, receiving a document from it, or being contacted afterwards does not make Barlow & Williams PLLC your attorney. Unless and until you have a signed engagement letter in place, the firm does not represent you. Searcher School and Sunset Coast Partners, LLC are not law firms and do not provide legal services.

Your responsibility

You are responsible for the accuracy of the terms you enter, for reviewing the generated letter with your own counsel, and for whatever you send to a seller. The generator may leave bracketed placeholders where information was missing. Read the whole document before it leaves your hands.

License

The template belongs to Barlow & Williams PLLC. You may use the documents you generate for your own transactions. You may not redistribute the template, resell generated documents, or present the tool or its output as the firm's work on your behalf.
